Description

Join Amazon's Legal Department as an Associate Corporate Counsel supporting Amazon Web Services (AWS), where you'll shape the infrastructure that powers cloud computing globally. You'll drive commercial real estate transactions that enable AWS's worldwide data center expansion, working on deals ranging from standard contracts to complex, bespoke, high-value agreements that directly impact our business growth.

Key job responsibilities

- Structure, draft, and negotiate commercial real estate agreements and leases, ranging from standard contracts to complex, bespoke, high-value transactions that support AWS's data center expansion

- Provide legal counsel and contract interpretation to business team members on a daily basis, helping them understand obligations, risks, and opportunities within commercial relationships

- Manage outside counsel relationships and coordinate external resources to support transactional work and dispute resolution

- Develop and implement process improvements across the legal team to enhance efficiency and consistency in handling commercial matters

- Resolve legal issues that arise in existing commercial relationships and handle pre-litigation disputes and inquiries

A day in the life

As an Associate Corporate Counsel for AWS, you'll focus on supporting our worldwide data center expansion through land acquisitions, leases, licenses, and zoning entitlement work. Your day will include drafting and negotiating commercial real estate agreements, providing legal counsel to business team members on contract interpretation, or collaborating with outside counsel to manage complex transactions. You'll work across multiple initiatives simultaneously—structuring bespoke agreements one moment, then advising internal clients on existing portfolio matters the next. Beyond transactional work, you'll identify opportunities to streamline processes across the team and help resolve legal issues that arise in our commercial relationships.

We are a collaborative legal team dedicated to supporting AWS's rapid growth and global expansion. Our vision centers on enabling AWS to scale efficiently while maintaining strong legal foundations across our real estate portfolio. You'll work alongside experienced attorneys, business stakeholders, and external counsel who are committed to solving complex commercial challenges. Together, we serve internal business clients who depend on our guidance to move deals forward and manage risk effectively. Qualifications

- 2+ years of legal experience

- Juris Doctor and membership in one state bar or equivalent

- Experience drafting and negotiating a variety of real estate transactional documents (i.e. leases, lease amendments, purchase and sale agreements, easements, development agreements, co-ownership agreements etc.)



Extended Qualifications

- Experience of a mix of corporate law firm and in-house work

- Experience managing multiple projects and meeting aggressive deadlines

The base salary range for this position is listed below. Your Amazon package will include sign-on payments and restricted stock units (RSUs). Final compensation will be determined based on factors including experience, qualifications, and location.
