The Microsoft Corporate, External and Legal Affairs (CELA) team has an immediate opening for an experienced attorney to join our Technology & Research (T&R) legal teamin the role of Senior Corporate Counsel.
The T&R legal team provides front-line, worldwide legal support for Microsoft’s T&R group and the Office of the Chief Technical Officer (OCTO). T&R and OCTO are the engines of innovation for Microsoft. They are responsible for developing the company’s overall technical strategy and driving forward-looking research and incubation efforts across multiple technology areas.
This position will primarily support T&R and OCTO’s AI partnership, infrastructure, and incubation efforts. These efforts are focused on developing breakthrough technologies and business models that will propel the next generation of Microsoft AI products and services.
Providing creative and proactive counseling on a broad range of complex legal, business and policy issues to support engineering and research teams as they explore new technology areas and business models.Drafting and negotiating legal agreements in cooperation with internal business clients and outside counsel, including in-bound and outbound IP licenses, commercial agreements, and co-development and collaboration agreements.Serving as a key business partner and valued legal advisor to senior level clients and colleagues by providing proactive and solution-oriented advice to help drive clarity on AI legal and policy matters.Working with clients to ensure they understand and follow evolving AI legal compliance policies/standards.Managing a team of dedicated outside counsel to scale support as necessary.Coordinating with team members, CELA colleagues and outside counsel on various legal and regulatory questions on important issues faced by early-stage AI technologies and businesses, including in the areas of privacy, safety, security, antitrust, litigation, and government affairs.Driving process improvement and incorporation of new technologies to improve the efficiency and scalability of legal support.

Qualifications
Required Qualifications7+ years experience as a practicing attorney in a law firm or a large enterprise environment.OR equivalent practice of law.Active license to practice law in a jurisdiction and capable of meeting admission requirements in relevant jurisdiction.Juris Doctor or international equivalent degreeOR completion of a legal apprenticeship.Experience counseling clients on technology related matters

Controlled Technology:
This role will require access to information that is controlled for export under export control regulations, potentially under the U.S. International Traffic in Arms Regulations or Export Administration Regulations, the EU Dual Use Regulation, and/or other export control regulations. As a condition of employment, the successful candidate will be required to provide proof of citizenship, U.S. permanent residency, or other protected status (e.g., under 8 U.S.C. § 1324b(a)(3)) for assessment of eligibility to access the export-controlled information. To meet this legal requirement, and as a condition of employment, the successful candidate’s citizenship will be verified with a valid passport. This position requires verification of citizenship due to citizenship-based legal restrictions. Specifically, this position supports United States federal, state, and/or local government agency customers and is subject to certain citizenship-based restrictions where required or permitted by applicable law. To meet this legal requirement, and as a condition of employment, the successful candidate’s citizenship will be verified with a valid passport.
Preferred Qualifications:

Legal Counsel IC5 - The typical base pay range for this role across the U.S. is USD $141,800 - $248,800 per year. There is a different range applicable to specific work locations, within the San Francisco Bay area and New York City metropolitan area, and the base pay range for this role in those locations is USD $179,300 - $268,900 per year.
