Microsoft’s Global Trade Legal team advances this mission through international trade policies, strategies and solutions that foster a culture of compliance, trust, and innovation across Microsoft and with our partners and customers worldwide.In the role of Senior Corporate Counsel, Global Trade Legal, you will focus on Microsoft’s commitment to compliance with sanctions and export controls laws and regulations in the various countries and regions where Microsoft operates. In this role, you will lead the advancement and implementation of sanctions and export controls compliance strategies and solutions through engagement and collaboration with key business partners and stakeholders. You will also be responsible for legal guidance on sanctions and export controls issues.
This role requires: sound, principled and consistent judgment in fast-paced ambiguous environments; a thorough understanding of sanctions and export controls laws and regulations, including those issued and administered by U.S. Treasury’s Office of Foreign Assets Control (OFAC), State’s Directorate of Defense Trade Controls (DDTC), Commerce’s Bureau of Industry and Security (BIS), and comparable regulatory authorities in relevant jurisdictions; a track record of cross-collaboration; commitment to integrity; solution-driven creativity and a business-enabling mindset; the ability to drive clarity from the complex. The role will report into the Global Trade Legal team within Corporate, External and Legal Affairs (CELA).
Counsel Microsoft business and engineering teams and other key stakeholders on a broad range of sanctions and export controls-related regulatory, commercial, sanctions and government contracting matters. Collaborate with cross-functional teams to manage and further develop and implement Microsoft’s sanctions and export controls compliance program in compliance with sanctions and export controls laws and regulations. Advance a collaborative and compliance-by-design environment that fosters trust in Microsoft while enabling business by: Partnering directly with internal business and engineering teams, serving as a trusted sanctions and export controls counsel and providing strategic and timely input in connection with business priorities. Overseeing and negotiating disclosures or government inquiry responses. Collaborating with businesses and key stakeholders to develop and implement end-to-end sanctions and export-compliance operational architectures. Preparing, updating, and implementing training, policies, and procedures. Identify and propose opportunities to reduce complexity and mitigate risk, including through automated solutions. Improve decision-making on key compliance issues by, for example, managing a coordinated approach to a complex problem. Monitor legal and regulatory developments; clearly communicate their impact to leadership and stakeholders. Employ creative approaches to resolving issues that arise in existing commercial and government contracting relationships, including pre-litigation legal disputes and inquiries. Develop and execute multilateral external engagement strategies that include advocating for innovative and effective sanctions and export control approaches to achieving national security and foreign policy objectives.
Qualifications
Required QualificationsJuris Doctor Degree or international equivalent degree AND 6+ years experience as a practicing attorney on trade matters in a government agency, law firm, or in-house legal department, with an emphasis on sanctions and export controls, including those issued and administered by U.S. Treasury’s Office of Foreign Assets Control (OFAC), State’s Directorate of Defense Trade Controls (DDTC), Commerce’s Bureau of Industry and Security (BIS).OR equivalent experience. Active license to practice law in a jurisdiction and capable of meeting admission requirements in relevant jurisdiction. Preferred Qualifications
Experience managing and leading a team, and influencing cross-stakeholder teams toward a shared objective.Experience with cutting-edge technologies, including disciplines such as digital and telecommunications, artificial intelligence, semiconductors, and quantum computing.Experience developing, implementing, or revamping a sanctions and export control program.Knowledge and experience in other international trade areas (e.g., outbound investment)A mix of corporate law firm and in-house experience is a plus.Hands-on project management experience, including organizational skills, the ability to manage multiple and varying mission-critical projects at once, and to follow through and meet deadlines.Ability to work independently while being able to contribute successfully to cross-functional teams.Ability to demonstrate sound and practical business judgment even in ambiguous situations.Experience simplifying complex technical and sanctions and export controls issues.Experience advocating for and influencing sanctions and export controls reform and other changes in sanctions and export policy. Legal Counsel IC5 - The typical base pay range for this role across the U.S. is USD $147,000 - $258,000 per year. There is a different range applicable to specific work locations, within the San Francisco Bay area and New York City metropolitan area, and the base pay range for this role in those locations is USD $185,900 - $278,900 per year.
