Description
Review, draft, and negotiate a wide variety of complex commercial agreements with large, sophisticated enterprise partners, including strategic partnership agreements, inbound and outbound OEM agreements, hardware agreements, intellectual property licenses, and data privacy agreements. Advise business development managers in structuring partnership transactions and developing and negotiating term sheets. Work with cross-functional teams to drive consensus and find solutions to novel legal issues that arise in transaction negotiations. Provide legal advice to non-legal stakeholder teams, such as strategic business development, product, sales, finance, engineering, marketing, and communications, summarizing and communicating legal concepts and risks in a way that is meaningful and actionable for these teams. Support the continuous improvement of standard form agreements and legal processes. Manage agreements that comply with company policies and risk tolerance.As Corporate Counsel at Google, you work on the most exciting legal issues as disruptive technological innovations require creative and proactive legal guidance. In this role, you will support the Cloud Strategic Business Development team in structuring, drafting , and negotiating Cloud's most strategic and complex partnerships. You will work closely with the business and other cross-functional teams in structuring and bringing to life bespoke agreements establishing multi-year partnerships to broaden Google Cloud's product offerings and position in the market.

The US base salary range for this full-time position is $210,000-$312,000 + bonus + equity + benefits. Our salary ranges are determined by role, level, and location. Within the range, individual pay is determined by work location and additional factors, including job-related skills, experience, and relevant education or training. Qualifications
Minimum qualifications: JD, LL.B., equivalent degree, or equivalent practical experience. Admitted to the bar and in good standing or otherwise authorized to practice law (e.g., have registered in-house status) in the state in which the position is located. 3 years of attorney experience negotiating, drafting and advising clients on technology-related commercial agreements.Preferred qualifications: Experience advising clients in structuring complex commercial transactions. Experience in drafting and negotiating a wide variety of commercial agreements, including intellectual property licenses, data licenses, partnership agreements, hardware agreements, services agreements and custom development agreements. Ability to manage several simultaneous projects under deadline pressure. Ability to grow in an ambiguous, quickly changing environment. Excellent written and verbal communication skills. Excellent organizational skills.
Extended Qualifications
